## How do I issue new shares to an investor?

Last updated: 20 September 2026 Answer from Robo Company Secretary How we write answers

New shares are allotted to the investor rather than transferred by a founder. Check allotment approval under sections 75–76 and applicable pre-emption rights under section 85, subject to the constitution. Document the subscription and consideration, then lodge the return of allotment within fourteen days and update the statutory records.

For funding rounds, the resolutions, constitution and subscription documents should match the share class, price and rights agreed. Non-cash consideration needs appropriate documentation; do not describe an unpaid subscription as paid-up capital.
