## Can I reduce or withdraw my paid-up capital?

Last updated: 20 September 2026 Answer from Robo Company Secretary How we write answers

Paid-up capital belongs to the company; shareholders cannot simply withdraw it. A reduction requires the Companies Act process: section 115 provides the routes, section 116 addresses court confirmation, and section 117 the solvency-statement route. Member approval and creditor protections matter. Ask the secretary and legal adviser which route fits the proposed transaction.
