## What is a shareholders' agreement and do I need one?

Last updated: 20 September 2026 Answer from Robo Company Secretary How we write answers

A shareholders' agreement is the private contract between owners covering what the law doesn't dictate: how decisions are made, what happens on deadlock, how someone exits, vesting, and what a departing founder's shares are worth. SSM never asks for one — which is exactly why disputes without one get expensive. Any company with more than one shareholder should have it.

We coordinate incorporation with the panel lawyer who drafts the SHA, so the constitution and the agreement say the same thing instead of contradicting each other.
