## How should co-founders split their shares?

Last updated: 20 September 2026 Answer from Robo Company Secretary How we write answers

SSM accepts any ratio — the law is indifferent to your split. Commercially, a 50:50 split carries a real deadlock risk: with no majority, a genuine disagreement can freeze the company. If you choose equal shares, pair them with a shareholders' agreement that says how deadlock breaks; if one founder leads, let the cap table say so honestly.

We incorporate to whatever split you decide and can introduce the panel lawyer for the shareholders' agreement — cheaper before the first disagreement than after it.

### Key facts

- Any ratio registrable
- 50:50 = deadlock risk without an SHA
