What is a company constitution and do I need one?
Optional since the Companies Act 2016 — without one, the Act's default rules govern, and for a simple single-owner company that's usually enough. A constitution earns its keep when you need what defaults don't give: multiple share classes, special board or veto rights, transfer restrictions, or terms an investor requires. Adopt it when there's a reason, not as decoration.
