I'm buying a business — should I buy the shares or the assets?

A share purchase buys the company whole — contracts, licences and registrations usually continue, but you inherit every liability including ones nobody disclosed. An asset purchase lets you take what you want into your own new company and leave the history behind, though contracts and licences may need renegotiating or reapplying.

Which is right depends on what makes the business valuable. If the licences, contracts or track record are the asset, shares. If it's equipment, stock and customers, assets. Either way, run the due diligence before signing — our Counterparty and Partner checks exist for exactly this decision.

Key facts

  • Shares: continuity + inherited liabilities
  • Assets: clean slate, but contracts/licences may not carry
  • Diligence before signing either way
