Do directors need to be shareholders?

No — director and shareholder are separate roles under the Companies Act 2016. One person may be both, either, or neither: a director can hold zero shares, and a shareholder need never sit on the board. Family businesses and investor structures rely on exactly this separation between who owns and who manages.
