How do I sign contracts on behalf of the company?
Every contract the company enters requires a resolution authorising the signatory — including when that signatory is a director. Sign in the company's name and state your capacity — 'for and on behalf of [Company] Sdn. Bhd., Director' — rather than as yourself, which is how directors accidentally take on personal obligations.
Statutory figures: Companies Act 2016 s.61–66
Also asked as: who signs for sdn bhd; execute agreement company malaysia; authorised signatory company; director signature contract.
We prepare the authorising resolutions for every contract the company signs, whether or not the signatory is a director — banks in particular will ask to see them.
